State comparison

Wyoming and Delaware do not ask the same address questions in the same way.

That difference matters because people often treat registered-agent addresses, principal offices, and mailing addresses as interchangeable.

Wyoming

  • The Wyoming Articles of Organization form has registered-agent fields.
  • The paper form also includes principal office and mailing address fields.
  • Wyoming has an official commercial registered-agent roster.
  • The address shown in one Wyoming field should not be treated as proof that the address works for every other purpose.

Delaware

  • Delaware formation is centered on the Certificate of Formation and Delaware registered agent.
  • Delaware does not use the same visible address-field pattern as Wyoming on the public certificate form.
  • Delaware LLC governance is heavily tied to the LLC agreement.
  • A Delaware registered agent address is still not the same thing as a mailbox, bank/KYC address, or real operating office.

The privacy trap

A person may believe they are getting privacy by putting a registered-agent or provider address into multiple address fields.

That may hide a home address from one public view, but it can also create a bad record if the field is asking for something different, such as a principal office, mailing address, or bank-acceptable business address.

Online filing versus paper filing

State online workflows can ask for data in a different way from a paper form or certificate. Do not assume a provider's web checkout explains the legal role of every address field.

The source to check is the state form, statute, filing instruction, and the specific field label in the workflow being used.

Registered agent field

Legal-notice role. It is not automatically the business office.

Principal office field

Office/location role. It may be treated differently from agent service.

Mailing address field

Mail role. If a private business receives USPS mail for the customer, CMRA questions may apply.
